These Terms of Service (“Terms”) govern your access to and use of the Harvest application (“the Service”), operated by Harvest Tools LLC (“we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Harvest is a portfolio tracking and grid trading tool. The Service provides calculators, task generators, and visualization tools that mechanically apply parameters you configure. Harvest does not select securities, set prices, recommend allocations, or place orders on your behalf. All trading decisions are made by you and executed by you on your own brokerage platform.
Nothing in the Service constitutes investment advice, financial advice, trading advice, or any other sort of advice, and you should not treat any of the Service's content as such. Harvest Tools LLC does not recommend that any security be bought, sold, or held by you.
The Service generates tasks based solely on parameters you provide. These tasks are mechanical outputs of your configuration, not personalized recommendations. You are solely responsible for determining whether any trade is appropriate for you based on your own financial situation, risk tolerance, and investment objectives.
Your use of the Service does not create an advisory, fiduciary, or professional-client relationship between you and Harvest Tools LLC. Harvest Tools LLC is not a registered investment adviser, broker-dealer, or financial planner under any federal or state securities laws.

Market data displayed in the Service is sourced from third-party providers and may be delayed, incomplete, or inaccurate. Harvest Tools LLC does not guarantee the accuracy, completeness, or timeliness of any data. You should verify all information independently before making trading decisions.
Trading securities involves substantial risk of loss and is not suitable for all investors. You acknowledge that past performance is not indicative of future results, and that the value of investments can fluctuate and may result in the loss of some or all of your invested capital. Grid trading, options, and leveraged strategies carry additional risks that may not be appropriate for your financial situation, risk tolerance, or investment objectives. You are solely responsible for evaluating these risks and deciding whether to trade. By using the Service, you voluntarily assume all risks associated with your trading activity.
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and that all information you provide is accurate and complete.
Access to the Service requires a paid subscription. Fees are billed monthly or annually. Payments are processed by our third-party payment processor.
To the maximum extent permitted by law, Harvest Tools LLC shall not be liable for any investment losses, trading losses, or damages of any kind arising from your use of the Service. This includes but is not limited to losses resulting from:
In no event shall Harvest Tools LLC's total liability exceed the amount you paid for the Service in the twelve (12) months preceding the claim.
You agree to indemnify and hold harmless Harvest Tools LLC, its officers, and its affiliates from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your trading activity, or your violation of these Terms.
The Service and all associated content, features, and functionality are owned by Harvest Tools LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.
Cancellation by you. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period, and you will retain access to the Service until that date. See Section 8 for billing details.
Termination by us for cause. We may suspend or terminate your access to the Service immediately, without prior notice, if you violate these Terms, use the Service unlawfully or fraudulently, initiate a chargeback, or engage in conduct that creates risk or legal exposure for Harvest Tools LLC or other users. Upon termination for cause, your right to use the Service ceases immediately.
Termination by us without cause. We may terminate your account without cause by providing at least fourteen (14) days' written notice to the email address on file. During the notice period, you will continue to have access to the Service so that you may export your data and wind down any in-progress activity.
We may update these Terms from time to time. Any changes will be posted on this page with a revised effective date. Continued use of the Service after changes constitutes acceptance of the updated Terms. For material changes, we will make reasonable efforts to notify you via email or in-app notification.
These Terms shall be governed by and construed in accordance with the federal laws of the United States and the laws of the State of Utah, without regard to its conflict of law provisions. Except for disputes subject to arbitration under Section 15, or claims for injunctive or equitable relief, you agree that any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Salt Lake County, Utah, and you consent to the personal jurisdiction of those courts.
Informal resolution. Before filing any formal claim, you agree to first contact us at the email address in Section 17 and attempt to resolve the dispute informally. You and Harvest Tools LLC agree to negotiate in good faith for at least thirty (30) days before initiating arbitration.
Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in Salt Lake County, Utah, or at another location mutually agreed upon, and the arbitrator's decision shall be final and binding.
Class action waiver. You agree that any arbitration or proceeding shall be conducted on an individual basis only, and not as a class, collective, or representative action. You waive any right to participate in a class action against Harvest Tools LLC.
Exceptions. This section does not prevent either party from (a) bringing an individual claim in small-claims court, or (b) seeking injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
